IMPORTANT NOTICE:
AS DETAILED IN THE ARBITRATION; JURY TRIAL WAIVER; CLASS ACTION WAIVER PROVISIONS BELOW, THIS AGREEMENT CONTAINS A WAIVER OF CLASS ACTION RIGHTS AND A WAIVER OF THE RIGHT TO A JURY TRIAL, AND MAY REQUIRE YOU TO ARBITRATE CERTAIN DISPUTES.

This website (including all sub-sites) is operated by Quick Capital Connections or a subsidiary or affiliate thereof (collectively, “Quick Capital Connections,” “we,” or “us”).

By accessing a Quick Capital Connections website, mobile application, interface, or platform (collectively, “Site” or “Sites”) that links to this Terms of Use Agreement (the “Terms of Use” or “Agreement”), you agree to abide by this Agreement and by our Privacy Policy (which is hereby incorporated by reference), regardless of the device used (e.g., personal computer, mobile device, or any other technology or software) for access.

These Terms of Use govern your access to, and use of, the Sites and any of the tools, features, functionality, services, or products offered on or through the Sites, including your access to information and data; your use of any web portal, customer account, sales partner account, syndicate investor account, or online services; your submission of application and/or provision of information for qualification for financing or other purposes; your subscription to blogs, newsletters, and alike; and your participation in any public areas on the Sites (collectively, the “Services”).

In addition to these Terms of Use and the Privacy Policy, certain of our services offered through the Sites, such as your ability to submit requests for commercial financing and related services, will be subject to, and governed by, separate terms and conditions or contracts that will be provided to you, and that you must agree to, in connection with those requests or transactions. To the extent there is a conflict between these Terms of Use and a transaction-specific agreement, the transaction-specific agreement will govern.

PLEASE READ THESE TERMS OF USE CAREFULLY TO UNDERSTAND EACH PROVISION. THIS CONSTITUTES A LEGAL AGREEMENT BETWEEN YOU AND QUICK CAPITAL CONNECTIONS FOR THE USE OF THE SERVICES AND THE TERMS OF USE SHALL APPLY TO ALL USERS OF THE SITES. IF YOU DO NOT AGREE TO THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITES, SERVICES, AND/OR CONTENT.

We may update these Terms of Use from time to time by making available a revised, dated version on the Sites. If the revised version includes a substantial change, we will provide a more prominent notice (including, for certain services, an email or other type of notification of Terms of Use changes) prior to the change becoming effective. 1. USE OF SITES

You agree to use the Sites and/or Services only for lawful purposes and you acknowledge that your failure to do so may subject you to civil and criminal liability as determined by applicable law.

To access certain features of the Site, you may need to register for an account and to provide us certain documentation or information, including information about your identity, finances, and business performance.

By creating or accessing a user account, submitting a request for commercial financing, and/or otherwise using the Sites, you represent and warrant that:
(i) you are 18 years old or older and are fully able to enter into a binding agreement;
(ii) all information and/or documentation you submit is true, accurate, current, and complete;
(iii) you will update such information, as necessary, to keep it true, accurate, current, and complete; and
(iv) the information belongs to you and does not infringe or violate any patents, copyrights, trademarks or other intellectual property, proprietary or privacy rights of any third party.

Quick Capital Connections reserves the right, at its sole discretion, to restrict in whole or in part, your access to, and use of, the Sites, Services, and Site content at any time, with or without notice, and for any or no reason.

2. PROHIBITIONS ON USE
You agree that you will not violate any law, contract, intellectual property, or other third-party right, and that you are solely responsible for your conduct, while accessing or using the Sites or Services.

You specifically agree that you will not:

• Provide false or misleading information to Quick Capital Connections, impersonate any person or entity, or misrepresent your affiliation with a person or entity;

• Use the Site in any manner that violates any federal, state, international, or local law or regulation;

• Interfere with, disrupt, or negatively affect other users from enjoying the Site;

• Reverse engineer any part of the Site, or attempt to bypass any security or access restrictions;

• Post or transmit viruses, spyware, malicious code, or similar threats;

• Use or attempt to use another user’s account without authorization;

• Post content that is illegal, discriminatory, misleading, defamatory, or offensive;

• Post any unsolicited advertising, spam, or commercial solicitations;

• Infringe upon the intellectual property or privacy rights of others.

3. ACCOUNT SECURITY
You are responsible for maintaining the confidentiality of your account credentials. You must take all reasonable steps to protect your password and account access, including creating strong passwords and changing them regularly.

Quick Capital Connections reserves the right to terminate or restrict access to any account without notice if it suspects a breach of these Terms of Use.

4. OWNERSHIP, COPYRIGHTS, TRADEMARKS, LICENSES
Except for User Content (as defined below), all information, materials, images, software, photographs, articles, functions, text, and other content solely provided by or on behalf of Quick Capital Connections on any Site (“Site Content”) is the sole and exclusive property of Quick Capital Connections or its licensors.

The Sites, Site Content, and arrangement thereof are protected by copyright, trademark, trade name, and other intellectual property rights.
You may not copy, imitate, reproduce, distribute, or otherwise exploit any part of the Site Content without express written permission.

Unless explicitly stated, Quick Capital Connections grants no license or right in any content, trademark, or intellectual property.

5. USER CONTENT
Any materials, submissions, or content you provide to Quick Capital Connections through the Sites (“User Content”) become the property of Quick Capital Connections upon receipt.

Such content is not treated as confidential, and Quick Capital Connections is free to use it without acknowledgment or compensation to you. You grant Quick Capital Connections a perpetual, irrevocable, royalty-free license to use, reproduce, distribute, display, and adapt your User Content for any purpose, including advertising.

You represent that:

• You own or have the rights to the content you submit,

• Your content does not violate third-party rights,

• You have written consent to use any names, likenesses, or identifying information in your content.

6. THIRD-PARTY CONTENT
Quick Capital Connections may link to or reference external websites, services, or materials provided by third parties.

These third-party sites are not controlled or endorsed by Quick Capital Connections. Your access and interactions with such content are at your own risk.
You are solely responsible for complying with any third-party terms and policies.

7. COPYRIGHT COMPLAINTS
If you believe content on our Sites infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to:

8. TELEPHONE COMMUNICATIONS
By using the Sites — including submitting a request for commercial financing — you expressly consent to receiving service, collection, marketing, and other communications (including calls or SMS messages using auto-dialers or prerecorded messages) from Quick Capital Connections, its affiliates, marketing partners, and trusted third-party providers at any number you provide, including mobile numbers.

Your consent applies even if your number is listed on a federal or state Do-Not-Call registry.

You are not required to consent to marketing communications to receive services from Quick Capital Connections.

9. DISCLAIMERS

Quick Capital Connections makes no warranties — express or implied — regarding:

• Accuracy or completeness of content

• Availability or uninterrupted operation

• Suitability for any particular purpose

• Protection from viruses or other harmful components

You are solely responsible for how you use the information provided on the Sites.

 10.LIMITATION OF LIABILITY
To the maximum extent allowed by law, Quick Capital Connections (including its affiliates and subsidiaries) is not liable for:

• Any direct, indirect, special, incidental, or consequential damages

• Loss of data, profits, or business opportunities

• Any attorney’s fees or legal costs

This applies regardless of the legal theory used (contract, tort, negligence, etc.).

11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Quick Capital Connections, its subsidiaries, affiliates, officers, employees, and agents from any claim, loss, or demand (including reasonable legal fees) resulting from:

• Your use of the Sites or Services

• Your violation of these Terms of Use

• Any content or data you submit

• Any breach of third-party rights by your actions or submissions

Quick Capital Connections reserves the right to assume full control of the defense in any matter subject to indemnification.

12. ARBITRATION; JURY TRIAL WAIVER; CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY
It (a) may require you to arbitrate disputes with Quick Capital Connections,
(b) precludes you from a jury trial, and
(c) requires disputes be brought in your individual capacity — not as part of a class action.

Arbitration

If a dispute arises between you and Quick Capital Connections relating to your use of the Sites or these Terms of Use, either party may choose to submit the dispute to binding arbitration under the American Arbitration Association (AAA).

If arbitration is chosen:

• No party may file in court or demand a jury trial

• Class action suits are not allowed

• The Federal Arbitration Act governs the process

• In-person hearings will occur in Arlington, Virginia (unless agreed otherwise)

• The arbitrator will apply Virginia law and issue a written decision

• Results are confidential unless disclosure is legally required

Limits

• No class arbitration allowed

• Arbitrator cannot join cases or add parties unless both sides agree

• Punitive and consequential damages are not allowed unless required by law

Fees & Appeals

• Arbitration fees follow AAA rules

• Each party covers its own legal costs

• An appeal can be filed to a three-arbitrator panel within 30 days of the initial decision

Jury Trial Waiver

You and Quick Capital Connections waive the right to a jury trial in any lawsuit related to the Sites or these Terms of Use.

Class Action Waiver

You and Quick Capital Connections agree not to bring any dispute as a class action, private attorney general action, or other representative proceeding — unless prohibited by law.

13. Governing Law & Jurisdiction

All disputes are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law rules.

You agree that any claims will be brought only in a state or federal court located in Arlington or Alexandria, Virginia, and consent to their jurisdiction.

14. Miscellaneous

15. Entire Agreement: These Terms represent the full agreement between you and Quick Capital Connections, superseding prior discussions.

16. Severability: If any part is invalid, the rest remains enforceable.

17. Assignment: You may not transfer your rights under these Terms. Quick Capital Connections may assign them freely.

18. Waiver: Any failure by Quick Capital Connections to enforce its rights does not mean it waives them permanently.

19. Headings: Section headings are for convenience only and do not affect interpretation.
